Commission Policy

INTRODUCTION

Commission is the primary revenue mechanism by which iRazzh sustains and continuously invests in platform growth, marketing, and seller support programs.

This Commission Policy explains how commission is calculated, how and when rates may change, how Sale Proceeds are paid out, and how a Vendor may raise a dispute over a commission charge.

This Commission Policy operates under and forms part of the Vendor Agreement and Seller Terms (POL-012). Where any provision of this Commission Policy conflicts with the Vendor Agreement, the Vendor Agreement governs; where this Commission Policy provides more specific details on a matter the Vendor Agreement addresses only in general terms, this Commission Policy governs for that specific matter, consistent with Section 1.2 of the Vendor Agreement.

Any violation of this policy is logged in the vendor's compliance score and affects platform ranking or commission rate per iRazzh's published schedule.

1. COMMISSION RATES BY CATEGORY

Eligibility for the Premium / Luxury Tier rate is determined by iRazzh based on brand status, product positioning, and seller performance history and is confirmed to the Vendor in writing before the reduced rate takes effect.

iRazzh may introduce commission rates for additional product categories from time to time; any new category rate will be published on the Seller Dashboard and communicated to relevant Vendors before it applies to their listings.

2. HOW THE COMMISSION IS CALCULATED

Commission is calculated on the net sale price, the final customer-facing price for the product, excluding VAT and any separately charged delivery fee, consistent with the pricing terminology used in the VAT & Pricing Disclosure Policy.

  • Promotions funded by iRazzh do not reduce the Vendor's commission base. Commission continues to be calculated on the product's standard net sale price, regardless of any iRazzh-funded discount shown to the customer.
  • Promotions funded by the Vendor do reduce the commission base. Commission is calculated on the discounted net sale price actually charged to the customer.

Worked example: A customer pays SAR 230 for a product, made up of a SAR 200 product price and SAR 30 VAT (15%). Commission at the Standard Rate of 12% is calculated as SAR 200 × 12% = SAR 24.

3. RELATIONSHIP TO PAYOUTS UNDER THE VENDOR AGREEMENT

This Commission Policy describes how the commission charged on each transaction is calculated. The resulting Sale Proceeds are paid out to the Vendor in accordance with Section 5.1 of the Vendor Agreement, summarized below for convenience:

Please note: the amount paid out in a given cycle may be lower than the full Sale Proceeds calculated for that cycle where iRazzh has properly withheld, deducted, or reserved an amount under Section 5.2 (VAT non-compliance) or Section 5.3 (set-off, withholding, and post-termination reserve) of the Vendor Agreement. Any such withholding will be reflected and itemized on the Vendor's Seller Dashboard.

This Commission Policy does not separately create or expand iRazzh's withholding rights beyond what is already set out in the Vendor Agreement.

4. COMMISSION RATE CHANGES

Commission rates may be amended by IRazzh from time to time. In accordance with Section 5 of the Vendor Agreement, any change to a Vendor's commission rate will be communicated in writing to active Vendors at least thirty (30) days before the new rate takes effect. The commission rate in force on the date a product is sold governs that specific transaction, regardless of any rate change that takes effect afterward.

Vendors will be notified of upcoming rate changes via the Seller Dashboard and registered email address, and the updated rate table will be published on this page once the change takes effect.

5. COMMISSION DISPUTES

A Vendor who disagrees with a commission amount charged on a specific transaction may raise a dispute as follows:

  • Submit the dispute via the Seller Dashboard, referencing the specific order or payout cycle in question, within 30 calendar days of the relevant payout.
  • Provide a clear explanation of the basis for the dispute, together with any supporting information (such as evidence of a Vendor-funded promotion that was not correctly reflected in the commission calculation).

iRazzh will investigate the dispute and respond with its findings within 10 business days of submission. Where the dispute is upheld, any resulting adjustment will be credited to the Vendor's account and reflected in the next available payout cycle.

Disputes raised more than 30 calendar days after the relevant payout will not be considered, except where the Vendor demonstrates, to iRazzh's reasonable satisfaction, that it was prevented from raising the dispute within that period due to circumstances beyond its control.

6. RELATIONSHIP TO THE LIABILITY FRAMEWORK IN THE VENDOR AGREEMENT

Amounts properly due to the Vendor as Sale Proceeds, including any amount confirmed owing following a successful commission dispute under Section 5, are settled in accordance with their own payout terms and are not subject to the liability cap set out in Section 10 of the Vendor Agreement, consistent with the carve-out already established in that Section. This Commission Policy does not limit a vendor’s right to receive amounts properly earned and confirmed as due.

iRazzh is not liable for indirect or consequential losses arising from commission calculation or payout timing, beyond correcting documented errors.

7. CURRENCY AND TAX TREATMENT

All commission calculations and payouts under this policy are conducted in Saudi Riyals (SAR). Commission is a marketplace service fee charged by iRazzh to the Vendor and is treated separately from the VAT applicable to the customer-facing sale price, in accordance with the VAT & Pricing Disclosure Policy.

Where applicable, iRazzh's commission invoice to the Vendor will reflect any VAT for which iRazzh itself is required to account under ZATCA regulations.

8. POLICY AMENDMENTS

iRazzh may update this Commission Policy from time to time to reflect changes in platform operations, category structure, or applicable law. Other than commission rate changes, which follow the 30-day notice period set out in Section 4, material changes to this policy will be communicated to active Vendors via the Seller Dashboard and registered email at least fifteen (15) calendar days before taking effect. Continued use of the platform as a Vendor after the effective date constitutes acceptance of the revised policy.
